1. Acceptance of Terms

By accessing or using Airframe Media's website and services, you agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you ("Client", "you", or "your") and Airframe Media ("we", "us", or "our").

If you do not agree to these terms, please do not use our website or services. We reserve the right to modify these terms at any time, and your continued use of our services constitutes acceptance of any changes.

2. Services Provided

Airframe Media provides professional video production services, including but not limited to:

  • Cinematography and videography
  • Video editing and post-production
  • Motion graphics and animation
  • Visual effects (VFX)
  • Audio production and sound design
  • Color grading and correction

Specific services, deliverables, timelines, and pricing will be outlined in individual project proposals and agreements. All services are subject to availability and mutual agreement.

3. Project Process & Timeline

Project Agreement

Each project begins with a detailed proposal outlining scope, deliverables, timeline, and pricing. Work commences only after:

  • Written acceptance of our proposal
  • Signing of a formal service agreement
  • Receipt of agreed deposit (typically 50% of project cost)

Timelines

Project timelines are estimates based on the agreed scope. Delays may occur due to client revisions, late feedback, or circumstances beyond our control. We will communicate promptly about any timeline changes.

Client Responsibilities

Clients are responsible for:

  • Providing timely feedback and approvals
  • Supplying required materials (logos, assets, scripts, etc.)
  • Ensuring necessary permissions and rights for content
  • Coordinating access to filming locations

4. Payment Terms

Pricing & Deposits

  • All pricing is provided in British Pounds (GBP) and is exclusive of VAT unless stated otherwise
  • A non-refundable deposit (typically 50%) is required before work begins
  • Final payment is due before delivery of final files
  • Payment plans may be available for larger projects upon request

Additional Costs

Additional charges may apply for:

  • Scope changes or additional revisions beyond agreed limits
  • Rush delivery or expedited timelines
  • Travel expenses, equipment rentals, or location fees
  • Licensed music, stock footage, or third-party assets

Late Payment

Invoices are due within 14 days of issue unless otherwise agreed. Late payments may incur interest charges at the rate of 8% per annum above the Bank of England base rate. We reserve the right to suspend work or withhold deliverables for overdue accounts.

5. Revisions & Scope Changes

Each project includes a specified number of revision rounds (typically 2-3) outlined in the project agreement. Revisions must be requested within agreed timelines and relate to the original project scope.

Additional Revisions

Revision requests beyond the agreed limit, or changes to the original scope, may incur additional charges. These include:

  • New creative directions not covered in the original brief
  • Significant content changes or re-edits
  • Additional footage requests or reshoots
  • Format changes or new deliverable versions

We will provide a quote for any additional work before proceeding. Clear communication helps us deliver exactly what you need.

6. Intellectual Property Rights

Ownership of Final Work

Upon full payment, you receive a perpetual, worldwide license to use the final delivered video content for your agreed purposes (commercial, marketing, internal use, etc.). The specific usage rights will be detailed in your project agreement.

Airframe Media Rights

We retain the right to:

  • Display completed work in our portfolio and marketing materials
  • Use project case studies for promotional purposes
  • Retain ownership of all raw footage, project files, and intermediate materials
  • Credit our work in your final content (optional but appreciated)

Client Materials

You represent and warrant that you have all necessary rights, licenses, and permissions for any materials you provide (logos, images, music, scripts, etc.). You agree to indemnify us against any claims arising from the use of client-provided materials.

Third-Party Content

Any licensed music, stock footage, fonts, or other third-party assets used in your project remain the property of their respective owners. Usage rights for these materials are governed by their individual licenses.

7. Confidentiality

We understand that you may share sensitive business information during the project. We agree to:

  • Keep all confidential information private and secure
  • Use client information only for the purposes of delivering your project
  • Not disclose unreleased content or proprietary information to third parties
  • Sign a Non-Disclosure Agreement (NDA) if requested

This confidentiality obligation survives the completion of the project and continues indefinitely unless otherwise agreed.

8. Limitation of Liability

While we strive for excellence in all our work, our liability is limited as follows:

Service Limitations

Our total liability for any claims arising from our services shall not exceed the total amount paid for the specific project in question. This limitation applies regardless of the form of action, whether in contract, tort, negligence, or otherwise.

Excluded Damages

We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities.

Force Majeure

We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, pandemics, strikes, equipment failure, or acts of government.

Client-Provided Materials

We are not responsible for issues arising from the use of client-provided materials, including copyright infringement, defamation, or other legal claims. Clients indemnify us against such claims.

Important Notice

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under UK law.

9. Cancellation & Termination

Client Cancellation

You may cancel a project at any time with written notice. Cancellation terms:

  • Deposits are non-refundable
  • You will be invoiced for all work completed up to the cancellation date
  • Third-party costs already incurred (travel, equipment rentals, licenses) are non-refundable
  • Partial deliverables may be provided upon payment of outstanding fees

Airframe Media Termination

We reserve the right to terminate a project if:

  • Payment terms are not met
  • Client fails to provide necessary materials or feedback
  • The working relationship becomes untenable
  • We identify legal or ethical concerns with the project

10. Warranties & Guarantees

Our Commitment

We warrant that:

  • Services will be performed with professional skill and care
  • Final deliverables will match the agreed specifications
  • We have the right to provide the services
  • Original content we create will not infringe third-party rights

Technical Specifications

Delivered files will meet industry-standard technical specifications (resolution, format, codecs, etc.) as agreed in the project brief. If technical issues arise, we will work to resolve them promptly at no additional cost.

Disclaimer

Except as expressly stated in these terms, we make no other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose. We do not guarantee specific business results (sales, engagement, etc.) from the use of our videos.

11. Dispute Resolution

Good Faith Resolution

In the event of any dispute or disagreement, both parties agree to first attempt to resolve the matter through good faith negotiations. We believe most issues can be resolved through clear communication.

Mediation

If informal negotiations fail, both parties agree to attempt mediation through a mutually agreed mediator before pursuing legal action. The costs of mediation will be shared equally unless otherwise agreed.

Governing Law

These Terms of Service are governed by the laws of England and Wales. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Severability

If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

12. General Provisions

Entire Agreement

These Terms of Service, together with any project-specific agreements, constitute the entire agreement between you and Airframe Media regarding the use of our services.

Amendments

We may update these terms from time to time. Material changes will be communicated via email or website notice. Your continued use of our services after changes take effect constitutes acceptance of the updated terms.

Assignment

You may not assign or transfer these terms or any rights hereunder without our prior written consent. We may assign these terms in connection with a merger, acquisition, or sale of assets.

Waiver

Our failure to enforce any provision of these terms shall not constitute a waiver of that provision or any other provision. No waiver shall be effective unless made in writing.
